Trading a polished Penny for an Xm XX?

I've been out of the game for a while, would it be a fair to trade my polished Penny no serial, no bridge movement, no serial, bad lenses, and very good rubbers for an Xm XX. From the pics he sent, the lenses were bad, marks on the right stem and slight movement on the bridge. Guy is driving distance to me. Thanks in advance.
